E-Bulletin : AGM Reports & Notices



As most of you will appreciate, the last couple of months have been very busy for us in preparing for the Conference and the AGM so the main focus of our last couple of E-Bulletins has been on these events - our next E-Bulletins will return to containing more general information of interest in managing your U3A.

We are using our E-Bulletin for the first time as our main means of communicating official notices to our members as required by our Constitution. This is in accordance with Clause 8.1 that allows us to send out such information "electronically", as long as we are able to track which of our members are receiving our notices - something which "Mailchimp" does automatically for us.

Annual General Meeting
Proposed Changes to the Constitution

This E-Bulletin contains important information about the Network's forthcoming Annual General Meeting to be held in Canberra on Friday 13th April 2018 in the Oak Room, Premier Hotel and Apartments, 110 Benjamin Way, Belconnen, ACT, 2617, commencing at 11:00 am.

In addition to the normal business (see below) of the AGM, there are a number of Special Resolutions proposed for amending
the Constitution. In summary, these changes seek to:
  • Increase the number of Regional Representatives without increasing the size of the Committee
  • Create a new class of membership for U3As that are located outside NSW/ACT, and clarify the benefits of this class of membership
  • Change the quorum requirements for General meetings to allow a more practical process for adjournment and ensure that General meetings can actually be held rather than abandoned.
If you are attending the AGM as a Voting Delegate for your U3A, it is important that you and your U3A reads and understands the proposed changes in full, and (if your U3A requires it) that you have direction on how to vote.

The Agenda for the Annual General Meeting will be:
(a) To confirm the minutes of the previous Annual General meeting and of any Special General Meeting held since that meeting;
(b) To receive a report from the President and such other relevant Committee members on the activities of the Network during the preceding financial year;
(c) To receive and consider the statement of the financial affairs of the Network which is required to be submitted to members pursuant to the Associations Incorporation Act ;
(d) To declare the results of the election of the Committee;
(e) Special Resolutions: Proposed changes to the Constitution for which at least 21 days notice has been given
(f) Any other general business from the floor admitted at the discretion of the President.

The AGM will be followed by a Members’ Forum, concluding by 12 noon. U3As are invited to submit topics (in writing to the Secretary) on any area of concern or mutual interest for discussion at this Forum.


 

Appointment of Voting Delegates

While any person who is a member of a U3A is welcome to attend the AGM, under Clause 4.3.1 of the Constitution each member U3A may only appoint one Voting Delegate to represent it at the Annual General Meeting. The Network Secretary must be notified at least 24 hours before the AGM as to who that Voting Delegate will be, and only Voting Delegates may vote at the meeting. A Voting Delegate must be a financial member of a member U3A.

While there is no prescribed form for appointing a Voting Delegate (and therefore a letter on a members letterhead, or an email from your current Secretary's email address will do), you may use the form available by clicking here if you wish. This (or any other formal notification) can be posted to the Secretary (PO Box 368, Woy Woy, NSW, 2256), or emailed to info@nsw.u3anet.org.au or handed in person to the Secretary at least 24 hours prior to the AGM.
