ANNOUNCEMENT
RESOLUTION ON THE POSTPONEMENT OF THE 45TH IFAWPCA CONVENTION
On motion duly made and seconded, in the interest of ensuring the health and safety of all IFAWPCA Members in the midst of the Covid-19 global pandemic, it is resolved that:
                                                        
1.    The 45th IFAWPCA Convention to be hosted by the Maldives National Association of Construction Industry (MNACI) from 29 June 2020 – 3 July 2020 is postponed to commence between 15 June 2021 – 5 July 2021.
 
       a.    This postponement, while unprecedented, is premised on the power of the   Executive Board to “manage and determine the conduct of affairs of the Federation” under Article III-1 of its Constitution upon guidance provided by the IFAWPCA Legal Adviser, Mr. John Tong.
                                                                              
       b.    The IFAWPCA Secretariat, in coordination with the MNACI Convention Secretariat, shall assist all Members in making the necessary rearrangements with respect to prepayments of Registration Fees and hotel accommodations based on the following guidelines: 
 
              i.        Registration Fees – Members may credit prepaid Registration Fees for the rescheduled convention in 2021. Those who opt not to attend or replace delegates, and notify the IFAWPCA Secretariat or the MNACI Convention Secretariat in writing at least sixty (60) days prior to commencement of the rescheduled convention, may avail of a refund within sixty (60) days after its conclusion. 
                                                                                                                   
              ii.       Hotel Accommodations – Members may credit prepaid hotel accommodation fees for the application and use during the rescheduled convention in 2021, on the basis that the same hotel rates shall apply through the efforts of the IFAWPCA President, Mohamad Ali Janah.  For this reason, hotels and resorts impose a no refund policy but may allow availment of the prepaid accommodations on modified dates subject to their respective terms and conditions.  
 
2.    The term of office of the current Executive Board Members and Officers is extended until the 45th IFAWPCA Convention when their successors shall have been elected.
 
3.    During the period from the outbreak of the Covid-19 global pandemic reckoned  on 18 March 2020 until the date immediately preceding commencement of the   45th IFAWPCA Convention:
 
       a.    Meetings of the Executive Board and of Special Committees, and the holding of any necessary Special General Assembly, may be conducted through video conferencing using Zoom or such other application as the Executive Board shall decide. For this purpose, the following provisions of the ByLaws apply with modifications on the notice period and in the manner of notification to include electronic mail and WhatsApp confirmation:
                                                               
i.        Executive Board [BL.III-3(b)] – The Executive Board shall meet with every Special General Assembly and/or as may be proposed by any Elective Board Member with the concurrence of at least one-half (1/2) of the total Elective Board Members, such proposal and concurrence may either be made at an Executive Board Meeting or conveyed in writing to the Secretary-General in the absence of an Executive Board Meeting and shall include specification of the time and place for the meeting but shall not be for time sooner than twenty-four (24) hours after the date of presentation of such proposal.
 
ii.       Special Committees [BL.VI-6(b)] – The Executive Board shall be authorized to convoke any or all of the Special Committees to a meeting at any time and in any place as the Executive Board may determine and to draw up the agenda for any such meeting.
 
iii.      Special General Assembly [BL.V-3] – The place and definite time for the holding of a Special General Assembly shall be determined by the Executive Board and shall be circularized, together with the details and particulars of the agenda,    to each and every Regular Member at least seventy-two (72) hours prior to the date set for said Special General Assembly.  
 
       b.    All decisions and resolutions adopted through virtual meetings and assemblies shall be subject to ratification during the 45th Regular General Assembly.
 
These resolutions are adopted with retroactive effect on 18 March 2020.
