In this update, we will share some Q&A that members have asked us about the motion and nomination process.

Upcoming dates and deadlines:  
  • Nominations and the proposed Trust Deed will be shared with members on the 28th August. People will have the opportunity to give feedback and voting will open. 1 vote per full member agency
 
  • Member Zoom hui will be held on the 29th August at 3pm this is an opportunity to ask questions about the trust deed
 
  • AGM will be held on the 11th or 12th September. A calendar invite with zoom link will be sent out before the end of this week.

 

Members Q&A

Here are some of the questions we have received with our response:
  • Did TOAH-NNEST get legal advice?
TOAH-NNEST has contract Kahui Legal to work on merging the TOAH-NNEST Trust Deed and the Tauiwi Caucus Constitution.
  • What – if any - compromises are needed for the change to work?
We do not foresee any compromises for the change to work. The key areas of benefit are to only have one legal entity, this will streamline the National Office administration and simplify some of the administration work (e.g. only having 1 AGM a year).
  • What will be the voting rights and opportunities for members?
Each whare will determine their own membership voting rights, for Tauiwi Caucus it will remain the same as it is currently outlined in the Tauiwi Caucus Constitution.
  • Do I have to be nominated for the portfolio or can I nominate myself?
The nomination form lends itself well to both options. The important part is the person having the endorsement of their organsation.
  • What is the commitment of being a member of Tauiwi Caucus Executive?
TOAH-NNEST Paetakawaenga meets face to face for two days, three times a year (Feb, May, Oct). Tauiwi Caucus Executive (Pae) also meet monthly via zoom for 1 hour.
Being responsible for a portfolio requires leading, identifying needs and finding opportunities to connect and support positive change for the SV sector in that particular area.

Proposed Motion

Greetings,
 
When we established the structure of TOAH-NNEST, we were trying to achieve several things:
  • Opportunity for each house to run according to its culture and world view
  • A legal structure so that we could apply for funds
  • As little legal structure as possible over NKM, as such legal structures are inherently of a European worldview and thus colonising.
 
We are now at a different point in our journey as an organisation and needs have changed.  On request from NIKM, we would like to change the structure by expanding the Trust document so that both houses, with their different rules, sit together under the Trust structure.  The intention for TC would be that we would close the incorporated society structure, but include those rules under the Trust structure so that we still operated as a member-based organisation.  At this stage, we have not identified any negatives to this proposal, but several positives, including that it would make it easier for us to meet our legal reporting requirements as there would be one set rather than two. 
 
We would love to hear from you about this – questions, comment or concerns – as we would like to bring a remit to this effect to the annual general meeting which is to be held at the conference in September.  If there is much discussion required, we could run a zoom meeting in the next few weeks.
