Notice of Annual Business Meeting
and Proposed Amendment to Bylaws 
 

All College members are invited to attend the ACAAI 2019 Annual Business Meeting held during the Annual Scientific Meeting on Sunday, Nov. 105:30 – 6:30 pm, in Grand Ballroom (Level 3) at the George R Brown Convention Center in Houston, TX. 

The meeting will include a report from the Bylaws Committee regarding proposed amendments to the College’s bylaws. The proposed bylaws amendments and meeting agenda follow.
 

Notice of Proposed Amendment to Bylaws

In accordance with the bylaws, notice is hereby given that the following bylaws amendment resolution will be considered by voting members (Fellows and Honorary Fellows) at the 2019 ACAAI Annual Business Meeting.

WHEREAS, the Board of Regents has approved a new structure for the House of Delegates as part of its governance reform strategy under Vision 2020, the College’s three-year strategic plan; and

WHEREAS, the House of Delegates reports to the Advocacy Council under the new structure; and

WHEREAS, the Board of Regents has approved incorporating the House of Delegates purpose and composition requirements into the ACAAI Governance Manual; and

WHEREAS, the Board of Regents has determined that it is advisable to amend the ACAAI Bylaws in light of the new governance structure; and

WHEREAS, in compliance with ACAAI Articles of Incorporation, the voting members of the College shall have the power to alter or amend the existing bylaws, provided the proposed alteration and amendment has been approved by the Board of Regents.

NOW, THEREFORE, BE IT RESOLVED, that Article III. Board of Regents, Section 2. Composition, be amended as follows:

“The Board of Regents shall consist of the President, President-Elect, Vice President, Treasurer, Immediate Past President, (collectively, the Designated Regents), nine (9) Elected Regents, the Speaker of the House of Delegates Advocacy Council Chair and two (2) members representing the Fellows-in-Training Section. The Junior Fellows-in-Training Representative shall participate as a non-voting member. The Past-Immediate-Past President shall be offered an opportunity to participate as a voting member for one year.”

FURTHERMORE, BE IT RESOLVED that Article VII. House of Delegates, be removed from the bylaws and the updated copy pertaining to the HOD purpose and composition requirements be incorporated into the College's Governance Manual. 

ARTICLE VII. HOUSE OF DELEGATES

Section 1. Function

The House of Delegates shall serve as a forum for discussion of issues relevant to the interests of local, state and regional societies of allergists/immunologists and shall provide a means for communicating such interests to the Board of Regents.

Section 2. Composition

The House of Delegates shall be composed of Delegates from each local, state and regional allergy/immunology society recognized by the College and from the Fellow-in-Training Members Section. Each local, state and regional allergy/immunology society and the Fellow-in-Training Members Section shall designate one (1) Delegate to the House of Delegates. Societies with more than one hundred (100) physician members may designate an additional Delegate for every additional one hundred (100) physician members or fraction thereof. For each Delegate designated, an Alternate Delegate also shall be designated. All Delegates and Alternate Delegates shall be Fellows of the College, except that the Delegate and Alternate Delegate designated by the Fellow-in-Training Members Section shall be Fellow-in-Training Members.

Section 3. Officers

The officers of the House of Delegates shall be a Speaker, a Vice Speaker and a Recording Secretary. Officers shall be elected for one-year terms and must be Delegates at the time of their election. The Speaker shall serve as the official representative from the House of Delegates to the Board of Regents.
Section 4. Meetings

The House of Delegates shall meet annually during the Annual Meeting of the College. All members of the College may attend and participate in meetings of the House of Delegates, but only Delegates or Alternate Delegates sitting for their designated Delegates may vote on any matter submitted to a vote of the House of Delegates.

Section 5. Quorum

One-third of the Delegates shall constitute a quorum for the transaction of business at any duly called meeting of the House of Delegates.

Section 6. Manner of Acting

The act of a majority of the Delegates, or Alternate Delegates acting therefore, present at a duly called meeting at which there is a quorum shall be the act of the House of Delegates. No Delegate or Alternate Delegate may act by proxy on any matter.

Section 7. Resolutions

Any Delegate may submit a resolution for consideration by the House of Delegates. Resolutions must be submitted in writing to the ACAAI Executive Office no less than thirty (30) days prior to the meeting of the House of Delegates. Any resolution submitted after the deadline will be reviewed by the officers of the House of Delegates, who will determine whether or not the resolution will be discussed at the upcoming meeting or held until the following meeting. The House of Delegates shall have no authority to take action on behalf of the College but may, by resolution, make recommendations to the Board of Regents or present resolutions passed by the House of Delegates to the Annual Business Meeting of the membership.

Section 8. Rules of Order

The Board of Regents may adopt rules of order governing the proceedings of and other matters related to the House of Delegates.

The ACAAI Board of Regents request your support of these proposed revisions.
