Hi Friends!

The Friends of the Homer Library’s Annual Meeting will be held Tuesday, February 5, 6:00 pm. Please give us a call if you plan on attending. During the meeting, the board will recommend for approval the following by-law changes:

A. Term Limits of officers

Goals of the proposed changes:
·    That we establish a term limit of ten years for board members, effective at 2022.
·    That we do not overly rely upon a single member’s expertise in a given area. 
·    That we develop new ideas and programs.
·    That the board act as a mechanism to bring new volunteers and their ideas into the Friends, encouraging new and younger applicants. 


Currently Article 5(2) reads as follows:
Section 2. Number, Tenure, and Qualifications. The number of directors shall be determined by the Board, but in any case shall not be fewer than 5 or more than 11, including the seat held by the Library Director. In addition to the number of directors, the Board may appoint an honorary non-voting high school student member. The term of the directors shall be two years. The directors shall serve on a staggered basis so that no more than four directors will need to be elected each year. The Library Director is a de facto voting Board member.

Proposed Changes

The term of the directors shall be two years. No person may serve as a Director for more than ten cumulative years unless his/her board membership has terminated for at least two consecutive years. If his/her board membership has terminated for at least two consecutive years, the ten-year term limit will restart and he/she is once again eligible to be a Director. 

The directors shall serve on a staggered basis so that no more than four directors will need to be elected each year. The Library Director is a de facto voting Board member.

B.  Caps on officers
 
Goals of proposed changes:
  • To share the burden of being an officer.
  • Give everyone an equal voice in prioritizing their interests and experience. 
  • To encourage good board development by having the vice-president in line to be the next president. 
 Article 7(3) currently reads as follows:

Section 3. Term of Office. Each member of a committee shall continue until the nextannual meeting of the members of the corporation and until his or her successor is appointed, unless the committee shall be sooner terminated, or unless such member be removed from such committee, or unless such member shall cease to qualify as a member thereof.

Proposed Changes:

Each member of a committee shall continue until the next annual meeting of the members of the corporation and until his or her successor is appointed, unless the committee shall be sooner terminated, or unless such member be removed from such committee, or unless such member shall cease to qualify as a member thereof.  Except for the position of treasurer, no person may hold the same office for more than two consecutive years.  After a lapse of at least one year, a person is once again eligible to hold the same office. 

C. Budget

Goal of the proposed change:
-To formalize the adoption of the annual budget in December.

Currently Article 5(3) reads as follows:

Section 3. Regular Meetings. The Board of Directors will hold regular monthly meetings unless otherwise determined by the Board.

Proposed Changes:

Section 3. Regular Meetings. The Board of Directors will hold regular monthly meetings unless otherwise determined by the Board. At its December regular meeting, the Board will establish an annual operating budget and set its membership dues.
