In this review application, Caxton will ask the Tribunal to set aside and substitute a decision made by the Competition Commission in August 2021 not to grant it permission to file a separate merger notification whereby Caxton intends to increase its shareholding in Mpact to a majority controlling stake. Mpact did not agree to a joint merger filing.
 
Caxton is asking the Tribunal for an order as follows:
  • That Caxton be granted permission to file a merger notification between Caxton and Mpact;
  • That the merger notification be filed within three weeks of the Tribunal order; and
  • That Mpact be directed to file a document known as a Form CC4(2) within three weeks of Caxton having filed its merger notification, failing which Caxton shall be entitled to make such filing on Mpact’s behalf. A Form CC4(2) is a statement of merger information used by the Commission in its consideration of a merger transaction, which includes amongst other things, business information of the merging parties.
