OPEN FORUM AND 2021 ANNUAL MEETING INFORMATION

Everyone is invited to attend an Open Forum on Thursday, July 22^nd at 7:30 p.m. in the Assembly Building. In addition to several important topics on the agenda this is your opportunity to bring forth ideas and concerns to the Board of Trustees. We hope you will attend. We need an active and informed community.

AGENDA:

ARTICLES OF INCORPORATION: At the 2021 Annual Meeting the membership will vote to approve the updated Articles of Incorporation which had not been updated since originally filed in 1932. This is your chance to ask any final questions regarding the Articles. Click this link to review the presentation.

BYLAWS: The Board is sponsoring two amendments to the CSA Bylaws. Click this link to review a document with the specific changes.
- Proposed amendment #1. In a vote taken at the September 26, 2020 Special Meeting the membership voted overwhelmingly to change Privilege ticket to Assembly ticket. The next step is to vote on changing Privilege Ticket to Assembly Ticket everywhere it is used in the Bylaws. The Bylaws Committee reviewed the current Bylaws and found three places where privilege ticket occurs. These occurrences are all in section I, Membership.
- The proposed amendment #2 arises from our update to the CSA Articles of Incorporation. The Board recommends moving the language that defines the term of office for the Trustees from the Articles to the Bylaws. There is no change to the total number of trustees, the number elected each year or the term of the trustees.
Discussion: We need your help to ensure that CSA common properties and beaches remain safe and family-friendly locations for all to enjoy. We have had several reports during the summer of alcoholic beverages being consumed, instances of fireworks and noise disturbances due to late-night activities which disturbed cottage owners nearby.

Please join us at this year’s Annual Meeting which will be held on

July 31^st, 2021 at 9:30 a.m. in the Assembly Building at 2128 Pilgrim Hwy, Frankfort, MI.

Our Bylaws require 40 Members in attendance to constitute a quorum. This is the minimum number of Members of the Assembly that must be present at the meeting to make the proceedings of the meeting valid. Members are adult (18+ years old) individuals who are beneficial owners of or who are named as owners on the deed or legal instrument (Trust, LLC, etc.) pursuant to which title is held on the property of Congregational Summer Assembly.

All Members and Associate Members who attend the meeting can vote on matters currently on the agenda: updated Articles of Incorporation; Bylaw changes; approval of: Minutes of 2020 Annual Meeting, Minutes of September 26, 2020, January 9, 2021 and February 20, 2021 Special Meetings; election of Trustees; and Enabling Resolution.

Members eligible to vote who are unable to attend the Annual Meeting can file a proxy vote with the Secretary at least 24 hours prior to the meeting. Associate Members are not eligible to vote by proxy. Proxies do not count towards a quorum. Click this link to download a pdf proxy form.
