Yindjibarndi Community and Commercial Ltd is seeking applications from experienced and qualified individuals who are interested in appointment as an Independent Director on the board of Yindjibarndi Community and Commercial Ltd (YCCL) as trustees for the Yindjibarndi People Community Trust and the Yindjibarndi Commercial Trust. 
 


About YCCL


YCCL is the trustee of two trusts established in 2013 to receive rail tariff payments from Rio Tinto for their rail system  that runs through Yindjibarndi Country.

The Yindjibarndi people have non-exclusive Native Title rights over 1500 square Kilometres in the West Pilbara region and exclusive Native Title rights over an area of 2,700 square Kilometres. 

YCCL has a board consisting of four Yindjibarndi people and two independent directors.
 


The Role


YCCL is seeking applications from experienced and qualified individuals interested in being appointed as an independent non-member director for a period of up to two years.
 
Board meetings are held 6 times per year in Roebourne WA and, when required, via zoom.   Board members travel and accommodation costs are covered by the trust. Directors fees are paid monthly . 
 

 

The Requirements

  • Applicants are required to be independent, that is, not an Yindjibarndi person, or employed by an Yindjibarndi entity or by Rio Tinto. 

  • Have competed, or within the first year of their term will complete the AICD Directors course.

  • Have a minimum three years’ experience as a director of an Australian company or in a professional, financial or business management role.

  • Are financially literate.

  • Possesses leadership experience and shall possess qualities reflecting a proven record of accomplishment and ability to work with others.

  • Do not have commitments that would conflict with the commitments of a Director of the Corporation.

  • Is of high repute and recognised integrity and:

    • Is not a person who is not permitted by the Corporations Act (or an order made under the Corporations Act) or the CATSI Act to be a director;

    • Has not been disqualified (either automatically or by Court order) from managing a corporation under from doing anything else contemplated by the role of the Independent Director, under any applicable law;

    • Is not a person who has been convicted of an offence other than a traffic infringement or other minor offence.

  • Endorsed by Yindjibarndi Aboriginal Corporation and approved by Rio Tinto.

 
 In appointing an Independent Member, regard shall be had to whether the person:

  • Has experience working with Aboriginal communities;

  • Has experience working with the administration of charitable and other trusts;

  • Has experience with successful business developments, or other relevant qualifications or experience; and

  • Is willing to undertake cultural awareness training if required by the Yindjibarndi PBC

 
Ideally, candidates will have experience and qualifications in law, finance, native title, corporate governance, or similar areas.  Previous experience in governance with high standards of integrity, ethics and corporate governance is essential. Strengths in leadership and management of people & process will be highly valued and a demonstration of cultural humility and understanding is essential.
