Regulatory Updates & Initiatives

Here are some recent developments and publications:
- Canadian securities regulators introduced exemptions for qualified issuers from certain base shelf prospectus requirements. The Canadian Securities Administrators published temporary exemptions from certain base shelf prospectus requirements for qualifying well-known seasoned issuers.
- Canadian securities regulators modernize registration information requirements, clarify outside activity reporting and update filing deadlines.
- The Canadian Securities Administrators plans to establish an Investor Advisory Panel (CSA IAP) to represent the interests of retail investors in pan-Canadian policy development activity. Interconnection with the OSC’s well-established Investor Advisory Panel will be ensured through cross-membership of at least one member.

OSC appoints new acting Executive Director
|
Sonny Randhawa has been appointed as acting Executive Director for the OSC. He will be responsible for the oversight and leadership of the OSC’s Investor Office, the Office of Economic Growth and Innovation, the Office of the Chief Accountant, Regulatory Strategy and Research.

Fraudulent crypto assets trading platforms
The Canadian Securities Administrators is urging caution against online platforms that fraudulently solicit investments in forex or cryptocurrencies by promising attractive returns. Several consumers reported having received such opportunities via telephone, text messaging or social networks and then they are typically directed to a crypto asset trading platform.

OSC in the Community is an outreach program that takes the OSC's regulatory mandate from Bay Street to Main Street. OSC staff travel to communities across Ontario to talk to people about making informed financial decisions and avoiding investment fraud.

|
The Ministry of Finance published a Consultation Draft of the Capital Markets Act on Oct. 12 2021. The draft consults on potential changes to securities legislation regarding statutory civil liability claims for misrepresentations in prospectuses for investors who purchase exchange-traded fund (ETF) units on an exchange. The consultation follows a recent court decision that raised questions about such claims.
