WHIMA Proposed Bylaw Amendments

WHIMA Proposed Bylaw Amendments – Polls open January 6 – 20, 2022

<<First Name>>,

Voting on the proposed WHIMA Bylaw amendments is now open!  Voting closes on January 20, 2022.

Proposed amendments to the Bylaws of the Wisconsin Health Information Management Association were presented via a separate email to WHIMA members on December 6, 2021.  The current WHIMA Bylaws state:

“15.1 Adoption of Amendments. The power to alter, amend, or repeal the Bylaws of
WHIMA, or to adopt new bylaws, is vested in the Active members of WHIMA. Two-thirds majority of those who cast a vote must vote in favor of the proposed changes to effectuate such action. The votes may be cast by one of two methods as determined by the Board of Directors. The two methods shall be 1) at a meeting of WHIMA members or 2) by electronic vote. A quorum for any voting by the members shall consist of not less than three percent (3%) of the Active Members of WHIMA.

A proposal to amend the Bylaws may be initiated by the Board of Directors, the Bylaws Committee, and/or any Active Member of WHIMA at any time that is at least thirty (30) days prior to a vote on the proposal. In the absence of such prior notice, the Active Members may still consider a proposal to amend the Bylaws. This can be done when a quorum is present and two-thirds of those eligible to vote according to AHIMA, vote in favor to forego the thirty (30) day notice. If the consideration to forego the 30-day notice is approved, the proposal may be adopted upon the affirmative vote of at least ninety percent (90%) of the votes cast by the eligible voters.  Any proposed revisions or amendments of the Bylaws of WHIMA shall be submitted for review and approval to AHIMA prior to adoption, and they shall comply with the provisions governing Component State Associations as provided for in the AHIMA Bylaws and in the AHIMA Policy and Procedure Manual.”
