Regulatory Updates & Initiatives
|
Here are some recent developments and publications:
- Canadian securities regulators are seeking comment a two-staged proposal to modernize the prospectus filing model for investment funds.
- Canadian securities regulators are adopting changes to the auditor oversight rules. The Canadian Securities Administrators (CSA) published final amendments intended to assist the Canadian Public Accountability Board (CPAB) with inspecting audit work performed in foreign jurisdictions.
- The CSA published guidance for investment funds on their disclosure practices that relate to environmental, social and governance (ESG) considerations, particularly funds whose investment objectives reference ESG factors and other funds that use ESG strategies (ESG-Related Funds).
- The CSA announced the start of the search for candidates for the chief executive officer (CEO) and members of the Board of Directors for the new self-regulatory organization (SRO).

New OSC board appointments
|
The OSC is welcoming six new people who were appointed to the OSC board. Kevan Cowan, Jennifer Fang, Dieter Jentsch, David Lewis, Hari Panday and Cindy Tripp will serve as part-time members for two-year terms (2022-2024). Three others were reappointed to the board for additional terms: Lead Director, Lawrence (Lorie) Haber, as well as Cecilia Williams and Frances Kordyback.

The Capital Market’s Modernization Taskforce’s final report was submitted in January of 2021, and the government is in the process of actively reviewing the taskforce’s recommendations and considering mechanisms for implementation. The draft Act is now available on the Ontario Regulatory Registry. The public, including sector experts and market participants, were invited to share their input on the draft legislation until February 18, 2022.

The Canadian Securities Administrators (CSA) published for comment the proposed business conduct regime for regulating dealers and advisers in over-the-counter (OTC) derivatives in Canada.

The Ontario Securities Commission (OSC) published for comment proposed changes to its fee rules that would establish a new fee for the market participants that are most active in Ontario’s over the counter (OTC) derivatives market, while reducing certain fees for the vast majority of Ontario market participants.
