Notice is hereby given that the 11th Annual General Meeting of the Members of the European Guide Dog Federation (EGDF) will be held virtually by zoom on Wednesday 7th April 2021 at 10:00 BST (11:00 CEST) for the following purposes:
1. To record members present and receive apologies for absence.
2. To approve the minutes of the previous AGM held on 27th March 2019 at the Tallink Spa and Conference Hotel, Tallinn, Estonia.
3. To receive and approve the Financial Statements and Report of the Trustees for the years ending 30th April 2019 and 30th April 2020 and pass the following resolution: That the Financial Statements and Report of the Trustees for the years ending 30th April 2019 and 30th April 2020 and presented to the AGM on 7th April 2021 be approved;
4. To authorise the Board to appoint Auditors/Examiners and fix their remuneration for one year;
5. To accept the resignations by rotation of the following trustees:
· David Adams, UK, by reason of having served two terms of office over six years
· Sean Dilley, UK, by reason of having served two terms of office over six years
· Ioanna Gertsou, Greece, by reason of having served two terms of office over six years
6. To consider nominations and select Trustees
· David Adams, UK, for a third 3-year term
· Sean Dilley, UK, for a third 3-year term
· Ioanna Gertsou, Greece, for a third 3-year term
7. To consider nominations put forward by members, having submitted the nominee’s details on a nomination form, received by the Company Secretary by email to Jane@EGDFed.org or post by 18:00 BST Tuesday 6th April 2021
8. Any other business, at the discretion of the President and advised to the Company Secretary by email to Jane@EGDFed.org or post by 18:00 BST on Tuesday 6th April 2021.
A member entitled to vote at the meeting may vote by proxy if they cannot attend the meeting. The proxy must be in writing upon an official EGDF proxy form. Proxies must be lodged with the Company Secretary by 18:00 BST on Tuesday 6th April 2021 by email to Jane@EGDFed.org
