Till borgenärer i Valiguard AB

Angående planerad fusion mellan Valiguard AB, org.nr 556609-5658, och Kiwa Certification AB, org.nr 556565-3358.

Som tidigare meddelats förvärvades Valiguard AB av Kiwa Certification AB i oktober 2021. Som nästa steg i denna transaktion planeras nu en fusion mellan bolagen, där Valiguard AB kommer att uppgå i Kiwa Certification AB. I enlighet med förpliktelserna i aktiebolagslagen informeras ni härmed enligt nedan.

Styrelsen i Valiguard AB, (dotterbolag till Kiwa Certification AB), informerar Er i egenskap av borgenär i Valiguard AB, om att en fusionsplan upprättats mellan Valiguard AB och Kiwa Certification AB, i enlighet med 23 kap 28 § aktiebolagslagen (2005:551).

Kiwa Certification AB avser att ansöka om verkställighet av fusionsplanen.

Fusionen innebär att moderbolaget övertar samtliga av dotterbolagets rättigheter och skyldigheter, vilket således medför att Kiwa Certification AB ansvarar för betalning av Er fordran och/eller fullgörande av avtalsåtagande.

Vi erinrar Er dock om att Ni, i enlighet med 23 kap 19 § aktiebolagslagen, har möjlighet att motsätta Er att fusionsplanen verkställs. För det fall Ni har för avsikt att motsätta Er fusionsplanen ska detta ske skriftligen senast den tid som anges i Bolagsverkets kallelse och vara ställt till Bolagsverket, 851 81 Sundsvall. Om Ni inte bestrider ansökan inom den angivna tiden anses Ni ha medgivit att fusionsplanen verkställs.

To the creditors of Valiguard AB

Ref: the planned merger between Valiguard AB, reg. no. 556609-5658, and Kiwa Certification AB, reg. no. 556565-3358.

As previously announced, Valiguard AB was acquired by Kiwa Certification AB in October 2021. The next step in this transaction is to merge the two companies so Valiguard AB will then be part of Kiwa Certification AB. In accordance with the obligations in the Companies Act, you are hereby informed as follows.

In accordance with Chapter 23, section 28 of the Companies Act (2005:551), the board of directors of Valiguard AB (a subsidiary of Kiwa Certification AB), hereby inform you as a creditor of Valiguard AB, that a plan to merge Valiguard AB and Kiwa Certification has been developed.

Kiwa Certification AB intends to apply for authorisation to implement the merger plan.

After the merger the parent company will assume all of the subsidiary’s rights and obligations, and consequently Kiwa Certification AB will be liable for payment of your claim and/or fulfillment of contractual commitments.

Please note that in accordance with Chapter 23, section 19 of the Companies Act, you may oppose the implementation of the merger plan. If you would like to do so, it must be prepared in writing to The Swedish Companies Registration Office, 851 81 Sundsvall within the period stated in the notice provided by the Swedish Companies Registration Office. If you do not oppose the application within the stipulated period, you will be deemed to have consented to the implementation of the merger plan.
